These are the general terms and conditions (“Terms”) of Sogood Partners Limited (“SoGood”) for the use of the SoGood Community Site. Please read these Terms carefully, as your use of the Site and the Services will be subject to them.

1. Definitions

In these Terms, the following definitions apply:

SoGood Community is a service called Hivebrite delivered by a third party called Kit United, whose address is 5 Rue Des Italiens, 75009 Paris, France, and is accessible as a mobile application and website (“Site”). “SoGood” means Sogood Partners Limited, a company registered in England with company number 14889615 of 20 Wenlock Road, London, N1 7GU, United Kingdom. “ Services” means the SoGood Community system provided to registered and unregistered users of the Site (“Users”).

This website provides information about the services offered by the website owner, SoGood Partners Ltd. You may use this information to decide whether to contact or engage us so that we can discuss and deliver our services.

2. What you are allowed to do

  1. You may use the Services for personal use and in accordance with these Terms and the prevailing regulations in the country in which you reside. 
  2. You may browse the Site using a compatible web browser or install the Site as a smartphone application from Google Play or Apple AppStores. 
  3. Permission to browse the Site includes permission to make transient or cached copies of parts of the Site to the extent that this occurs in the normal course of using your browser or smartphone and that these copies are used only to facilitate current or subsequent access to the Site by you.
  4. You may create backlinks to pages on the Site from sites, blogs or social media accounts that you control so long as the link is relevant and lawful.

3. What you are not allowed to do

  1. Except to the extent expressly set out in these Terms, you are not allowed to make any copies of any part of the Site.
  2. You may not remove or change anything on the Site.
  3. You are not allowed to copy or use any material from the Site for commercial purposes.
  4. You may not create links to the Site to make it appear your own. 
  5. You are not allowed to remove or change any copyright, trademark or other intellectual property right notices contained in the original material or from any material copied or printed off from the Site.
  6. You must only use the Site and anything available from the Site for lawful purposes and comply with all applicable laws, statutes, and regulations.
  7. You may not access the site if you are under 16 years of age.

4. Your personal information

Our Privacy Policy, which forms part of these Terms, governs the use of your personal information. If SoGood undergoes reorganisation or is sold to a third party, you agree that any personal information we hold about you may be transferred to that reorganised entity or third party.

5. User Content and Intellectual Property

5.1 User Responsibility for Content

  • (i). Users are solely responsible for ensuring that any content they upload, share, or otherwise make available through our platform (the “User Content“) complies with all applicable copyright laws and regulations.
  • (ii). Users affirm that they either own the rights to the User Content or have obtained the necessary permissions or licenses to use and share it on the platform.
  • (iii). Users must not upload, post, or share any content that infringes on the intellectual property rights, including but not limited to copyrights, trademarks, patents, or trade secrets, of any third party.

5.2 Indemnification

  • (i.). Users agree to indemnify, defend, and hold harmless SoGood, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to any third-party claim alleging that the User Content infringes or misappropriates any intellectual property rights or other proprietary rights of any third party.

5.3 Reporting Infringements

  • (i.). If you believe that any content available on the platform infringes your copyright, please notify us by emailing dpo@sogood.partners with details of the suspected copyright infringement.
  • (ii.). Upon receipt of a valid copyright infringement notification, we will promptly remove or disable access to the allegedly infringing content and take reasonable steps to notify the user responsible for the content.

4. Disclaimer of Liability

  • (i.). SoGood does not assume any responsibility or liability for the User Content or for any claims, damages, or losses resulting from the use or misuse of User Content by Users or any third parties.
  • (ii.). Users acknowledge that they use the platform at their own risk and that SoGood is not liable for any unauthorised access to, alteration of, or distribution of User Content.

6. Prohibited content

6.1 Users must adhere to respectful and lawful behaviour on the Site. The following types of content are strictly prohibited:

  • (i.) Content that promotes or instructs on illegal activities or violates local, national, or international laws.
  • (ii.) Content that promotes hatred, violence, or discrimination based on race, ethnicity, national origin, religion, disability, gender, age, sexual orientation, or other protected characteristics.
  • (iii.) Content that harasses, intimidates, or bullies individuals, including personal attacks, threats, or abusive behaviour.
  • (iv.) Pornographic or sexually explicit content or content promoting non-consensual sexual acts or child exploitation.
  • (v.) Content depicting or promoting violence, self-harm, or suicide, and threats of harm to oneself or others.
  • (vi.) False, misleading, or deceptive content, including misinformation, scams, or phishing attempts.
  • (vii.) Content that infringes on copyrights, trademarks, patents, or trade secrets.
  • (viii.) Spam, repetitive postings, and unauthorised commercial content.
  • (ix.) Content containing viruses, malware, or harmful code.
  • (x.) Unauthorised sharing of personal, confidential, or sensitive information.
  • (xi.) Content that impersonates another person or entity in a misleading manner.

6.2 We reserve the right to remove or disable access to any content that violates these guidelines. Report violations to dpo@sogood.partners.

7. Disclaimer and limitation of liability

  1. SoGood does not, and nothing in these Terms shall act to exclude or limit SoGood’s liability for death or personal injury resulting from its negligence, fraud or any other liability which may not by applicable law be excluded or limited. Your statutory rights as a consumer are not affected by any of these Terms.
  2. Subject to clause 7.1, in no event shall SoGood be liable (whether for breach of contract, negligence or for any other reason) for any loss of profits, exemplary or special damages, loss of sales, loss of revenue, loss of goodwill, loss of any software or data, loss of bargain, loss of opportunity, loss of use of computer equipment, software or data, loss of or waste of management or other staff time, or for any indirect, consequential or special loss, however arising.
  3. Subject to clauses 7.1 and 7.2, SoGood’s liability to you, whether in contract, tort or otherwise, is limited to £1.
  4. You agree that your use of the Services is on an “as is” and “as available” basis and that your use of the Services is at your sole risk. On that basis, except as expressly set out in these Terms, SoGood does not enter into conditions, warranties or other obligations in relation to the Site or the Services (including any implied quality or fitness for a particular purpose).
  5. You agree that the obtaining of any material through the use of the Services is carried out at your own risk and that SoGood has no liability to you in respect of such material or the effects of such material.
  6. You must satisfy yourself that you are fully able to receive the Services. SoGood does not accept liability for any costs, loss or damage, howsoever arising from or related to the availability or content of the Services to persons in any territory worldwide. 
  7. SoGood may change the format and content of the Site from time to time. You should refresh your browser each time you visit the Site to ensure that you download the most up-to-date version.
  8. The Site may include links to external sites. SoGood is not responsible for these sites’ content or anything they provide.
  9. SoGood is not liable for any action you may take because you relied on any information provided on this Site.

8. Suspension and termination

  1. SoGood may suspend the Site’s operation for repair or maintenance work or updates or upgrades to its functionality from time to time. Access to or use of the Site or the Service will not necessarily be uninterrupted or error-free.
  2. Users who repeatedly or severely breach the prohibited content rules (clause 6) may have their accounts suspended or terminated. 
  3. SoGood may terminate this agreement and your right to use of the Site and/or the Services immediately in the event you breach any of these Terms or at any time at SoGood’s discretion.

10. General and governing law

  1. SoGood may change these Terms from time to time and will endeavour to notify you of any major changes. By using the Site and the Services, you accept that you are bound by the current Terms. You should check these each time you revisit the Site. These Terms form the parties’ entire understanding and supersede all previous agreements, understandings and representations relating to the subject matter. If any provision of these Terms is found to be unenforceable, this shall not affect the validity of any other provision. SoGood may delay enforcing its rights under these Terms without losing them. You agree that SoGood may subcontract the performance of any of its obligations or may assign these Terms or any of its rights or obligations without giving you notice.
  2. Additional terms and conditions may apply to the use of SoGood services unrelated to the Site or Services specified in these Terms. You will be notified that additional terms and conditions apply to these services and will be required to indicate that you accept them prior to being able to use such services.
  3. SoGood will not be liable to you for any breach of these Terms which arises because of any circumstances that SoGood cannot reasonably be expected to control.
  4. These Terms shall be governed and interpreted in accordance with English law.
