These Terms of Use (the “Terms”) govern your access to and use of the SoGood Community web and mobile applications and related services (the “Platform” or the “Services”). The Services are operated by SoGood Partners Limited (“SoGood”, “we”, “us”), a company registered in England and Wales (No. 14889615) with registered office at 20 Wenlock Road, London, N1 7GU, United Kingdom. By creating an account or using the Services you agree to these Terms.
1. Definitions
- User / you: an individual who registers for or uses the Services.
- Organisation: the charity, community group, or other entity that invites Users to its private workspace on the Platform.
- Organisation Admin: a User with administrative permissions for their Organisation’s workspace.
- Content: any text, images, documents, links, data or other materials posted, uploaded, or shared via the Services.
- User Content: Content supplied by Users (including Organisation Admins).
- SoGood Content: all software, code, UI/UX, documentation, and branding owned by or licensed to SoGood.
2. Invite-Only Access & Accounts
2.1 The Platform operates by invitation only. Invitations are personal and non-transferable.
2.2 Your Organisation controls who may join its workspace and what permissions apply.
2.3 You must be at least 16 years old to use the Services.
2.4 You are responsible for keeping your sign-in credentials secure and for all activity under your account. Notify your Organisation Admin and SoGood promptly if you suspect unauthorised access.
3. Organisation Admin Responsibilities
By accepting Admin rights, an Organisation Admin agrees to:
- Access control & off-boarding: invite the right people; remove leavers promptly; review roles periodically; apply least-privilege access.
- Safeguarding governance: publish the Organisation’s safeguarding contact (DSL) and policy; oversee moderation and escalation.
- Content standards: set and enforce workspace rules aligned to these Terms; review reports; remove harmful content; preserve evidence where needed.
- Data protection: ensure appropriate notices to Users; conduct DPIAs where required; manage retention and deletion of Organisation Content; respond to rights requests.
- Incident response: act swiftly on risk of harm or illegality; escalate per Section 4; cooperate with SoGood’s Safety/Compliance team and lawful authorities.
- Records: maintain records of key moderation/safeguarding decisions.
4. Safeguarding, Safety & Escalation
4.1 Immediate danger: if someone is at risk of serious harm, contact emergency services immediately (Dial: 999).
4.2 Report concerns: email [email protected]. Include links, screenshots, and why you are concerned.
4.3 Organisation first: report to your Organisation Admin/DSL so local action can be taken quickly.
4.4 SoGood action: SoGood may remove content, restrict features, or suspend accounts to protect Users, comply with law, or enforce these Terms. We may refer matters to the Organisation and/or competent authorities where appropriate.
4.5 Preservation of evidence: we may preserve relevant logs or content for a reasonable period to support an investigation or legal process, in line with data protection law.
5. Acceptable Use & Prohibited Content
You agree not to misuse the Services. The following are not permitted:
- Illegal activity or instructions to commit illegal acts.
- Hate speech; harassment; bullying; threats; incitement of violence.
- Pornography or sexually explicit content; exploitation or grooming; any sexual content involving minors.
- Content promoting self-harm or harm to others.
- Misinformation, scams, phishing, or deceptive practices.
- Infringement of third-party intellectual property or other rights.
- Spam or unauthorised commercial communications.
- Malware, viruses, or actions that disrupt or attempt to probe/penetrate the Service.
- Unauthorised sharing of personal, confidential, or sensitive information.
- Impersonation or misrepresentation of identity or affiliation.
- Circumventing invite-only restrictions, scraping private spaces, or attempting to re-identify anonymised data.
We may remove or disable access to content that breaches these Terms and may suspend or terminate accounts for repeated or serious violations.
6. Your Content & Intellectual Property
6.1 You are responsible for your User Content and must have the rights to upload or share it.
6.2 You retain ownership of your User Content. You grant SoGood a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce and distribute your Content solely to operate, secure, back up and provide the Services, and to enable collaboration as intended.
6.3 You grant other Users in your Organisation the rights necessary to view and interact with your Content within that workspace. You can delete your Content; reasonable copies may persist in backups for a limited time or where required by law.
6.4 If you believe Content infringes your rights, email [email protected] with details; we may remove or restrict access and notify the uploader where appropriate.
7. SoGood’s Intellectual Property
All rights in the Platform and SoGood Content (software, code, design, branding, documentation) are owned by or licensed to SoGood. Except as expressly permitted, you must not copy, modify, create derivative works of, distribute, sell, lease, reverse engineer, or otherwise exploit any part of the Platform.
8. Privacy & Data Protection
8.1 Privacy Policy: Our Privacy Policy explains how we process personal data and forms part of these Terms.
8.2 Roles (general):
- For workspace Content and membership, the Organisation will typically act as data controller; SoGood generally acts as processor/service provider.
- For account security, abuse prevention, service analytics and legal compliance, SoGood may act as an independent controller.
8.3 If SoGood reorganises or is sold, personal data may be transferred to the successor in accordance with law.
9. Availability, Updates & Third-Party Services
9.1 The Services are provided on an “as is” and “as available” basis. We may modify or discontinue features, run maintenance, and do not guarantee uninterrupted or error-free operation.
9.2 The Platform may contain links to or integrate with third-party services; we are not responsible for third-party content or services.
10. Moderation, Enforcement, Suspension & Termination
10.1 We may restrict features, remove Content, or suspend/terminate accounts where necessary to protect Users, comply with law, or enforce these Terms.
10.2 Organisations may request suspension or removal of their members.
10.3 Upon termination, your right to use the Services ends. Minimal records may be retained as required by law or to establish, exercise or defend legal claims.
11. Disclaimers & Limitation of Liability
11.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law. Your statutory rights are not affected.
11.2 Subject to 11.1, SoGood shall not be liable for: loss of profits, revenue, goodwill, data, or any indirect or consequential loss, however arising.
11.3 Subject to 11.1–11.2, SoGood’s total aggregate liability to you arising out of or in connection with the Services shall be limited to £1.
11.4 You obtain materials or data through the Services at your own discretion and risk.
12. Feedback
If you submit feedback or suggestions, you grant SoGood a perpetual, worldwide, royalty-free licence to use that feedback for any purpose without obligation to you.

13. Changes to These Terms
We may update these Terms from time to time. We will take reasonable steps to notify you of significant changes. Your continued use after changes take effect constitutes acceptance of the updated Terms.
15. App Store Terms (Mobile App)
If you use the mobile app, you must also comply with the terms of the app store (Apple App Store/Google Play). The app store provider is not responsible for the Services and has no obligation to provide maintenance or support.
16. General & Governing Law
- Assignment: We may assign or transfer our rights and obligations under these Terms. You may not assign yours without our consent.
- Entire Agreement: These Terms constitute the entire agreement between you and SoGood regarding the Services.
- Severability: If any provision is held invalid, the remainder will remain in effect.
- No Waiver: Any failure to enforce a provision is not a waiver.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
- Third-Party Rights: No one other than you and SoGood has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
Governing Law & Jurisdiction: These Terms and any dispute or claim (including non-contractual) arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
